These Terms and Conditions (“Terms”) govern your access to and use of the website at swmktg.com (the “Site”), operated by Knight Electronics, Inc., doing business as SW Marketing Associates (“SW Marketing Associates,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About the Site and Our Services
SW Marketing Associates is a manufacturers’ representative firm. The Site provides information about our company, our team, the territories we serve, and the manufacturers (“principals”) whose product lines we represent. We do not sell products through the Site. Quotes, orders, pricing, and product sales are handled by the applicable manufacturer or authorized distributor and are governed by their own terms and conditions of sale, not by these Terms.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, to use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.
3. Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable law or regulation;
- Submit false, misleading, or fraudulent information, including through our contact form;
- Use the contact form or our contact details to send spam or unsolicited bulk messages;
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems, or interfere with the Site’s security or operation;
- Use bots, scrapers, or other automated means to access or collect content from the Site, including names and contact details of our team, except for standard search engine indexing;
- Upload or transmit viruses, malware, or other harmful code;

The Site and its content, including text, graphics, photographs, and the SW Marketing Associates name and logo, are owned by Knight Electronics, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Manufacturer trademarks. The names, logos, and product information of the manufacturers shown on our line cards are trademarks and property of their respective owners. They appear on the Site to identify the product lines we represent, and their display does not grant you any right to use them.
You may view and print Site content (such as line cards) for your internal business use in working with us, provided you do not modify the content or remove any copyright or trademark notices. No other right or license is granted.
5. Your Submissions
When you send us information through the Site, you represent that the information is accurate and that you have the right to submit it. Our use of personal information you submit is governed by our Privacy Policy.
If you send us ideas, suggestions, or feedback, you agree that we may use them without restriction or compensation to you. Please do not send confidential or proprietary information through the contact form; if confidentiality is needed, we will arrange appropriate terms with you separately.
6. Product and Line Card Information
Information on the Site about manufacturers, product lines, and territories is provided for general informational purposes only. Line cards, territory assignments, and the manufacturers we represent may change at any time without notice. Product specifications, availability, pricing, and warranties are determined by the manufacturer, and you should confirm them with us or the manufacturer before making any purchasing or design decision. We are not responsible for errors in information supplied by third parties.
7. Third-Party Links and Content
The Site contains links to third-party websites, including manufacturer websites, distributor websites, and social media platforms such as LinkedIn. We do not control and are not responsible for third-party websites, content, products, or services, and a link does not mean we endorse them. Your use of third-party sites and services is subject to their own terms and privacy policies.
8. Copyright Complaints
We respect the intellectual property rights of others. If you believe material on the Site infringes your copyright, please contact us at the address in Section 17 with a description of the work, the location of the material on the Site, and your contact information, and we will review and respond to your request.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Any warranty for a product you purchase is provided by its manufacturer or seller, not by these Terms.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SW MARKETING ASSOCIATES, KNIGHT ELECTRONICS, INC., AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.
11. Indemnification
You agree to indemnify and hold harmless SW Marketing Associates, Knight Electronics, Inc., and their officers, directors, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Site or your violation of these Terms or of any law or third-party right.
12. Export Compliance
You agree to comply with all applicable U.S. and international export control and economic sanctions laws in connection with your use of the Site and any technical information obtained from it.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, U.S.A., without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts.
14. Changes to the Site and These Terms
We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes apply from the date they are posted, and your continued use of the Site after that date means you accept the updated Terms.
15. Termination
We may suspend or end your access to the Site at any time, without notice, if we believe you have violated these Terms. Sections 4, 5, and 9 through 16 will continue to apply after your access ends.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. They do not replace any separate written agreement you have with us, such as a sales representation agreement, which will control if there is a conflict. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them without restriction. Headings are for convenience only.
